Partner Program Terms

Short version: NOWScale Partners is invite-only. Once you accept these terms, people who join through your code and pay for NOWScale earn you a share of what they pay for a set number of billing periods. Commission waits a hold in case of a refund, then is paid monthly in USD once it reaches the minimum. Disclose that you earn commission, and promote NOWScale honestly. The operative text below governs.

1. About these terms

These Partner Program Terms (the “Partner Terms”) govern NOWScale Partners (the “Partner Program”), operated by NOWScale LLC. They supplement our Terms of Service and our Referral Program Terms, which continue to apply. Where these Partner Terms and those terms conflict on the Partner Program, these Partner Terms govern.

The commission rate, the number of billing periods, the hold period, the minimum payout and who your code may bring (the “Partner Details”) are shown in your invitation and in Settings > Account > Refer and earn, and form part of these Partner Terms. The Partner Details you accept stay fixed for your partnership unless you accept new ones.

2. Becoming a Partner

NOWScale invites creators to the Partner Program at its discretion. An invitation is personal to the account it was sent to and can be accepted until the date it shows. Your account must stay in good standing with a verified email address. One person holds one partnership.

3. Your code and links

• You share the same invite link and code you use for Refer and earn. People who join through them after you accept these terms earn you commission instead of Refer and earn rewards. Referrals recorded before you accepted keep the terms they were recorded under.
• Your code may bring the people the Partner Details allow, such as accounts that have never paid NOWScale. It never brings yourself, your other accounts or someone acting for you.
• The offer your audience sees when they join, if any, is the Refer and earn offer in force, shown on the invite page.

4. Commission

4.1 What earns commission

Each paid subscription invoice of the workspace a customer first paid for through your referral earns the commission rate of its booked revenue, net of discounts and taxes, in the invoice’s currency, for the number of billing periods the Partner Details state. A yearly plan counts as one billing period, once. Token top-ups and other one-off purchases do not earn commission.

4.2 Holds, refunds and chargebacks

Each commission waits the hold period the Partner Details state after its invoice is paid, then is approved for a payout. If a payment that earned commission is refunded in whole or in part, or lost in a chargeback, the commission it earned is reduced in the same proportion, even after approval; the reduction is deducted from your next payout. A referral that ends because its first payment was refunded earns no further commission.

5. Payouts

• NOWScale pays approved commission monthly, in United States dollars, once your approved balance reaches the minimum payout. Commission earned in another currency is converted at the rate NOWScale recorded for the payment that earned it.
• Payouts are made outside the Service, by bank transfer or another payment service. We ask for your legal name, country and payout email address. We never store bank account numbers.
• Before your first payout we ask for a tax form (a W-9 for United States persons, or a W-8BEN or W-8BEN-E otherwise). We cannot pay without a valid form, and we may need to withhold tax or delay a payout where the law requires. You are responsible for any tax that applies to commission you receive.
• We cannot pay persons or entities in countries or on lists subject to sanctions that apply to NOWScale LLC.

6. Promotion rules

When you promote NOWScale, you must:

• say clearly, in the content itself and in its language, that you earn commission from purchases made through your link or code;
• describe NOWScale truthfully and only from your own experience;
• follow the Acceptable Use Policy and the rules of every platform you post on.

You must not:

• bid on NOWScale names or trademarks in search or social advertising, or register domains or accounts that use them;
• post your code on coupon, deal or cashback sites;
• send unsolicited messages or spam;
• offer or publish reviews or testimonials that are fake, paid without disclosure or not based on real use;
• present yourself as NOWScale, its staff or an official channel.

7. Suspension and ending

NOWScale may suspend or end your partnership for a breach of these Partner Terms or of the terms they supplement, or when the Partner Program changes or ends. While a partnership is suspended, new referrals earn no commission. You may end your partnership at any time by contacting us. After a partnership ends, no new commission is earned; approved commission is still paid, except commission obtained through a breach, which we may cancel.

8. Our relationship

You take part as an independent contractor. Nothing in these Partner Terms creates employment, agency, partnership in the legal sense or a joint venture, and you cannot bind NOWScale. You may use the NOWScale name only to describe the Service and your referral.

9. Privacy

We process your partnership, the customers your code brought, the paid invoices that earned commission, and the payout and tax details you give us, as our Privacy Policy explains. Tax forms are stored encrypted and every access to them is recorded. The people you bring see only what the invite page shows; you see their first name, last initial and status, as under the Referral Program Terms.

10. Changes

We may change these Partner Terms or the Partner Program at any time. New Partner Details apply to invitations sent after they take effect; your accepted Partner Details stay yours unless you accept new ones. The “last updated” date at the top of this page shows when the current version took effect.

11. General

Section 19 of the Terms of Service (dispute resolution) applies to the Partner Program. Questions about the Partner Program can be sent to support@nowscale.com.
